THE HOUSE PAINTERS™ – CONTRACT AGREEMENT

Contract Acceptance & Notice of Terms:
This agreement ensures a smooth, professional project for both of us.
By reviewing this estimate, the client acknowledges access to the full Terms & Conditions referenced and linked herein.
By approving the estimate electronically, submitting a deposit, making any payment, scheduling work, or allowing work to begin, the client acknowledges receipt of this agreement and accepts all terms and conditions in full.

Approval & Payment: Digital approval is required. The client authorizes The House Painters™ to charge the stored payment method for scheduled payments, including progress payments and final balances. Invoices not paid within 24 hours of completion incur a 5% late fee, with further penalties every 7 days. Projects over $10,000 require weekly progress payments. The House Painters™ may issue supplemental progress payments if additional costs arise. Client approval is not required for such charges. Declined payments must be resolved within 48 hours, or work may be suspended. Chargebacks are not allowed. Final payment is processed upon substantial completion, with a walk-through offered to address concerns.
Accepted Payment Methods:
The House Painters™ accepts payment by ACH bank transfer or credit/debit card only.
Checks, cash, and mailed payments are not accepted.

Card payments may include standard processing fees. ACH bank transfer is available as a fee-free payment option.

Color Acceptance & Surface Variations: The House Painters™ is not responsible for dissatisfaction with color once selected by the client. Clients are responsible for confirming colors in natural lighting prior to project start. Colors should not be chosen solely from digital screens or photographs.

Due to lighting conditions, surface texture, substrate differences, and existing finishes, color appearance may vary once applied. Minor variations in tone, sheen, and texture are considered normal and acceptable within industry standards.

The House Painters™ is not responsible for mistints, custom color matching discrepancies, or differences between sample chips, touch-up areas, and final applied results.

Client-Supplied Materials: If the client elects to supply paint, coatings, or materials, The House Painters™ is not responsible for product performance, color accuracy, finish quality, drying time, adhesion, or issues resulting from product defects, improper tinting, or supplier error. All product-related concerns must be resolved directly between the client and the material supplier.

Any additional labor, delays, rework, or extra coats required due to product failure, incompatibility, or insufficient coverage will be billed as a change order and are due upon completion of the additional work.

By supplying materials, the client accepts full responsibility for any resulting impact on project timeline, labor requirements, or final appearance.

Change Orders & Additional Costs: Change orders incur a $250 administrative fee per occurrence, plus time and materials at retail rates, billed weekly. This applies to client-requested changes, including added areas, upgraded finishes, or scope revisions after work has begun.

If additional labor or materials are required due to unforeseen site conditions, material performance issues (including client-supplied products), or adjustments necessary to complete the work to professional standards, such work will be billed at standard rates without the $250 change order fee. Client approval is not required when adjustments are reasonably necessary to complete the project.

Once a project is approved, services or scope items may not be removed to reduce pricing. Any requested reductions or omissions will be treated as a change order, and original pricing remains in effect.

Unless otherwise specified, quoted work typically includes two coats of paint to ensure proper coverage and a uniform finish. In some cases involving similar colors or minor color transitions, full coverage may be achieved with one coat; however, coverage requirements are determined at The House Painters™’ discretion based on professional standards and final appearance.

If additional coats are required due to color coverage, substrate absorption, or sheen leveling, additional charges will apply. Additional coats are considered expanded scope and are not warranty items unless caused by a proven product defect.

Additional colors or sheens may result in added charges for materials, preparation, and cleanup. The House Painters™ reserves the right to reasonably adjust scope, materials, and labor based on actual site conditions. Refusal to pay for required additions or changes constitutes a breach of contract, and the client remains responsible for the full contract amount, including approved additions. No refunds or price reductions will be issued.

Scope Interpretation: In the event of any ambiguity or disagreement regarding the scope of work, The House Painters™’ written proposal and itemized scope shall govern. Verbal statements, assumptions, client interpretations, or third-party opinions do not modify or expand the agreed scope unless confirmed in writing by The House Painters™.

Client-Provided Information: Measurements, square footage, plans, drawings, or specifications provided by the client are relied upon for estimating and pricing. The House Painters™ is not responsible for inaccuracies or omissions in client-provided information. Any adjustments required due to incorrect or incomplete information will be treated as additional scope and billed accordingly.

The House Painters™ relies on reasonable interpretation of provided plans and documents for estimating purposes and is not responsible for omissions, discrepancies, scaling differences, design ambiguities, or conditions not clearly identifiable prior to project commencement.

Plans & Drawings Disclaimer: Plans, drawings, or design documents are used for general reference only unless otherwise agreed to in writing. The House Painters™ does not perform architectural measurements, engineering analysis, or full material takeoffs unless explicitly included in the scope of work. Any discrepancies between plans, client-provided information, and actual site conditions may result in scope adjustments and additional charges.

Estimate Accuracy & Reliance: All estimates are based on visual inspection, client-provided information, and conditions reasonably observable at the time of quoting. Estimates may require adjustment due to hidden conditions, access limitations, measurement variances, or discrepancies discovered during the course of work. The House Painters™ is not responsible for reasonable estimate variances or omissions that were not apparent prior to project commencement.

Client Communication Protocol: To maintain clear communication and quality control, all client communication regarding scheduling, scope, billing, or project direction must go through The House Painters™ office, authorized sales representative, or owner. While an on-site team lead may be available to address immediate questions or updates, any changes to the agreed scope, schedule, or billing must be approved through The House Painters™ directly. Clients agree not to direct or manage subcontractors independently. Any unauthorized direction given by the client to subcontractors is non-binding and may result in additional charges or delays.

Reservation & Cancellation Policy

Work Stoppage: The House Painters™ reserves the right to suspend work immediately if payment is delayed or unpaid, with no obligation to resume work until all outstanding balances are paid in full. Any delays caused by non-payment may result in rescheduling fees and schedule adjustments.

Cancellations: Cancellations made less than thirty (30) days before the scheduled start date may incur a cancellation fee equal to 5% of the total project cost, in addition to any non-refundable deposit. Rescheduling is subject to availability and will be confirmed by The House Painters™.

Project Timeline & Conditions: Project timelines are professional estimates only and may be affected by weather, illness, crew availability, material delays, client access issues, or other unforeseen circumstances. The House Painters™ does not guarantee specific start or completion dates, crew size, or consecutive workdays.

Exterior work, including pressure washing and preparation, may begin as conditions allow and may occur without advance notice.

Clients acknowledge that scheduling delays may occur and agree that The House Painters™ is not liable for any indirect or incidental costs resulting from schedule changes, including but not limited to temporary housing, moving services, rental delays, storage costs, travel expenses, delivery rescheduling, or missed appointments. No refunds, discounts, or financial penalties will be issued due to project delays.

Jobsite Readiness & Trade Coordination: The House Painters™ is not responsible for delays caused by other trades, unprepared work areas, or restricted access. If the site is not ready on the scheduled start date, a rescheduling fee of $500 per day may be applied. Additional labor charges may apply for delays, inefficiencies, or rework caused by trade overlap, access limitations, or other contractor-related issues.

All official communication, decisions, and project direction must occur through The House Painters™ project manager or owner. Clients agree not to direct or manage field crew members independently, as this may result in miscommunication, delays, or additional charges.

Third-Party Scheduling & Indirect Costs Disclaimer: The House Painters™ is not responsible for any indirect costs, penalties, or damages resulting from project delays, schedule adjustments, or work conditions for any reason. This includes, but is not limited to, expenses related to rental accommodations, moving services, furniture delivery, cleaning services, or other third-party scheduling.

Clients are advised not to schedule or rely on third-party services until primary work is complete and a final walk-through has been conducted. No refunds, discounts, or reimbursements will be issued for indirect or consequential costs under any circumstances.

Unforeseen Surface Conditions: If unforeseen conditions such as mold, rot, water damage, or substrate failure are discovered, additional preparation or repair may be required and will be billed separately. The House Painters™ will notify the client prior to proceeding with such work when reasonably possible.

Force Majeure: The House Painters™ is not liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, labor shortages, pandemics, material shortages, or other unforeseen events. If such conditions impact the project timeline, The House Painters™ will communicate with the client and make reasonable scheduling adjustments.

Lead Paint & Home Age Disclosure: The House Painters™ is not EPA Lead-Safe Certified and does not test for, contain, or remove lead paint. If the home was built before 1978, the client must disclose this in writing prior to work beginning.

While The House Painters™ will not intentionally disturb lead-based paint, standard preparation activities such as scraping, sanding, or pressure washing may result in incidental disturbance. The client is solely responsible for lead testing and hiring a certified abatement contractor when required.

The House Painters™ is not liable for lead exposure, contamination, fines, or regulatory compliance issues related to homes built before 1978. If lead paint is discovered during the project, work may be halted until proper remediation is completed, and additional fees or delays may apply. Compliance with all lead-paint regulations remains the client’s responsibility.

Non-Solicitation Agreement: Clients agree not to directly solicit, hire, or contract with any subcontractors, painters, crew members, or employees of The House Painters™ during the project or for ten (10) years following completion.

Violation may result in legal action and a penalty equal to twenty-five percent (25%) of the total value of the work solicited, payable to The House Painters™.

Respect & Termination Policy: The House Painters™ maintains a professional working environment. Abusive, threatening, or harassing behavior toward any team member may result in immediate termination of the agreement. In such cases, The House Painters™ may leave the project site without further obligation, and the remaining contract balance shall become immediately due with no refunds or discounts issued.

Conduct, Harassment & Defamation Policy: Harassment, intimidation, or threatening behavior toward The House Painters™ team or representatives—whether in person, electronically, or online—is strictly prohibited.

Clients agree not to publish false, misleading, or defamatory statements that may harm the reputation of The House Painters™, its owners, employees, or subcontractors. Concerns must first be addressed through the dispute resolution process outlined in this agreement.

Violation may result in termination of services and legal action to recover damages, attorney fees, and associated costs.

Contract Termination for Client Breach: If this agreement is terminated due to client breach—including non-payment, interference with work, or refusal to comply with contract terms—the client agrees to pay one hundred percent (100%) of the contract amount, including additions or upgrades, regardless of project stage. Remaining balances become immediately due and may be subject to collection or lien enforcement.

Project Completion & Liability Waiver

Client Responsibility: The client is responsible for documenting property condition prior to work and verifying completion at project closeout.

Pre-Work Inspection: Clients must provide written documentation and photos of pre-existing damage before work begins. The House Painters™ may document conditions for internal records but assumes no responsibility for pre-existing issues.

Failure to provide documentation waives future claims regarding pre-existing damage.

Project Completion & Walk-Through: A project is considered complete when primary work is finished and minor touch-ups are scheduled. Final payment is due upon completion regardless of pending minor items.

Clients are provided one scheduled walk-through while crews remain onsite. Work is considered complete even if minor return visits are scheduled.

The House Painters™ is not responsible for removal or reinstallation of mirrors, décor, hardware, blinds, switch plates, or similar items unless specifically included in writing.

Touch-Ups: All touch-ups must be identified during the scheduled walk-through. Requests made after crews leave may require additional scheduling and charges.

Standard cleanup includes broom-swept floors and removal of masking materials. Minor dust or paint specks consistent with normal application standards are acceptable.

Reasonable Attempts to Remedy Issues: The House Painters™ will make reasonable efforts to address verified workmanship concerns. Corrective work is limited to two (2) repair attempts unless otherwise required by law. After reasonable attempts are made, work shall be deemed satisfactory and complete. Continued dissatisfaction based on subjective preference or lighting conditions does not constitute grounds for refund or additional corrective work.

Final Walk-Through & Approval: Clients must inspect completed work before The House Painters™ departs. Concerns not reported at that time waive the right to later dispute completion.

Standard of Completion & Workmanship Viewing Standard: Workmanship is evaluated under normal natural lighting from a distance of three (3) to six (6) feet in accordance with PCA standards. Minor irregularities not visible from this distance are acceptable.

Existing substrate texture, prior coatings, surface movement, or material imperfections may remain visible after painting and are not workmanship defects. A factory or spray-booth finish is not guaranteed unless specified in writing.

Paint coverage is considered acceptable when the underlying surface is no longer visible under normal lighting conditions. Additional coats required due to color selection or substrate conditions may incur additional charges if not included in the original scope.

Surface Texture Disclaimer: Perfectly uniform texture is not guaranteed on existing surfaces. Minor bumps, roller patterns, drywall variations, or sheen differences are normal unless surface leveling is specifically contracted.

Independent Contractors & Partner Crews: The House Painters™ may perform services through independent contractor partner crews. These workers are not employees of the client. The House Painters™ remains responsible for coordination, scheduling, and quality standards.

Clients agree not to supervise or contract directly with partner crews and must route all communication through The House Painters™ management.

Liability Limitation: The House Painters™ is not responsible for damage claims after completion unless the client provides:

  • Before-and-after photos of the specific area

  • Written documentation submitted before completion

  • Proof the damage resulted directly from The House Painters™ work

Failure to provide documentation waives the right to dispute property conditions after project completion.

Damage Claims & Insurance Disclaimer: Clients must follow the contract documentation process for any damage claims. Insurance reimbursement is not guaranteed. Payment may not be withheld while insurance claims are pending. Any validated damage repair will be handled separately and does not reduce the contracted project amount.

Client Responsibilities
Communication Protocol: All communication regarding project scope, scheduling, changes, or concerns must be directed exclusively to The House Painters™ project manager or owner. Clients may not provide instructions, request changes, or discuss pricing with subcontractors or field crew members. Verbal directions given to field workers are not valid unless confirmed in writing by The House Painters™. Failure to follow this protocol may result in delays, additional charges, or termination of the agreement.

Site Oversight & Communication: Each project is managed by a designated crew lead responsible for daily oversight and quality control. The owner or sales representative may not be present on-site during production. All project decisions and approvals must occur through The House Painters™ office. Field crews are not authorized to modify scope, pricing, or approve additional work. Clients agree not to direct or manage field personnel independently.

Site Access: Clients must provide access to water, electricity, adequate lighting, and safe working conditions. Work areas must be cleared and accessible before the scheduled start date. Failure to prepare the jobsite may result in additional fees, schedule adjustments, or a rescheduling fee of $500 per day of delay.

Cleanup: The House Painters™ will leave work areas in broom-swept condition. Minor dust or debris from preparation and touch-up work is normal and does not constitute a defect. Post-project cleaning outside immediate work areas is not included unless specified in writing.

Additional Project Conditions

Unforeseen Conditions: Hidden damage or conditions not visible during estimating may require additional work and will be quoted separately when discovered.

Debris & Disposal: Standard cleanup is included; disposal of construction debris or removed materials is not included unless specified in writing.

Window Operation: Windows previously painted shut or affected by prior coatings are not guaranteed to operate after painting unless restoration services are specifically included.

Warranty & Liability Limitations

Newly stained or sealed decks must not be walked on for at least five (5) days to allow proper curing. The House Painters™ provides a three (3) year workmanship warranty from project completion. No warranty applies to stain or stain-related services unless otherwise stated in writing. Extended warranties may be purchased separately.

Warranty coverage excludes:

  • Normal wear and tear

  • Acts of nature

  • External factors beyond The House Painters™’ control

Warranty is void if:

  • Work is altered or damaged by the client or third parties before inspection

  • Surfaces are exposed to misuse, harsh conditions, or improper maintenance

Liability is limited to the total amount paid under this agreement. The House Painters™ shall not be liable for indirect, incidental, or consequential damages including loss of use or diminished property value.

Media Release & Project Photography

Client grants permission for The House Painters™ to photograph or record the project for promotional purposes.

Images captured prior to final completion may show work in progress and may not represent final results. Clients agree not to publicly represent unfinished work as completed results. Misrepresentation of unfinished work may be addressed under the Conduct & Defamation Policy.

Dispute Resolution

Disputes shall first be submitted to mediation in Nashville, Tennessee. If unresolved, matters may proceed to arbitration or legal action within Nashville jurisdiction. Clients agree to provide written notice of disputes and allow fourteen (14) calendar days for good-faith resolution before initiating legal action, chargebacks, negative reviews, or third-party complaints.

Legal Fees & Collection Costs

Clients agree to reimburse The House Painters™ for attorney fees, court costs, collection fees, and administrative expenses incurred to enforce payment or contract terms.

Contract Modification

The House Painters™ may update contract language for clarity or policy improvements. Any changes affecting scope, price, or approved terms require written acknowledgment by both parties.

Lien Rights & Notification

In the event of non-payment, The House Painters™ reserves the right to file a lien as permitted under Tennessee law. This agreement serves as formal notice of lien rights. Clients are responsible for all associated legal and filing costs.

Entire Agreement

This contract represents the entire agreement between the parties and supersedes all prior discussions or representations. Verbal agreements are not binding unless confirmed in writing and signed by both parties. Pricing and terms expire if not accepted within thirty (30) calendar days unless otherwise stated.

Optional Add-Ons

Post-Project Reactivation Fee: Projects paused for more than fourteen (14) days may incur a $500 reactivation and rescheduling fee.

Formal Escalation for Rework Disputes: Unresolved workmanship concerns will proceed through documented review and mediated site inspection. Subjective dissatisfaction does not constitute grounds for refund once PCA standards are met.

Optional Extended Warranty: Extended warranties must be purchased and documented in writing prior to project start.

Property Owner Permission: Clients confirm they have written authorization from the property owner or landlord to proceed with services.
